Company Secretarial is a Division within the Corporate Affairs Group, and is responsible for: • Company Administration and Corporate Governance • Company Secretarial Services Corporate Affairs Group provides essential and professional services across all areas of Macquarie. The group sets and maintains high standards and is continually developing operating efficiencies and setting industry benchmarks in service delivery. It is comprised of Human Resources and Business Services, Company Secretarial and Investor Relations, Finance, Business Improvement, Settlements, Group Treasury and Taxation Divisions. Macquarie is a diversified global financial services organization, operating in various US jurisdictions - the US head office is in New York. Macquarie America has a number of operating Groups and Divisions, including: • Macquarie Capital Group • Treasury and Commodities Group • Real Estate Group • Macquarie Securities Group • Macquarie Funds Group Macquarie America has approximately 1800 staff across the US, Canada and Brazil with approximately 800 staff based in the New York office. With a non-hierarchical management style providing individual businesses with operating freedom within risk limits. This strategy is known as ‘freedom within boundaries'. KEY RESPONSIBILITIES • Form, organize and assist with the maintenance of corporations, limited liability companies, some limited partnerships, and some real estate investment trusts. • Prepare terms of preferred shares compatible with the needs of capitalization and redemptions for various investment transactions • Advise on questions of corporate and other business entities' laws • Prepare numerous Board and shareholder written resolutions and meeting minutes; and arrange quarterly and annual Board/ Committee meetings • Manage state qualifications as required • Coordinate with the Company Secretary for New York Macquarie Capital Funds; global Company Secretaries, Risk Management Group, and other Macquarie personnel, with respect to compliance with Macquarie internal policies and procedures • Perform special projects and general administrative tasks as required, such as filing and updating organisation charts BUSINESS KNOWLEDGE • Knowledge and understanding of laws and principles generally applicable to corporations and other business entities, specifically the DGCL, DLLC and related statutes. Familiarity with principles such as director/ officer fiduciary duties, liabilities and protections, capitalisation, etc. • Update and maintenance of in house database (Blueprint) for maintenance of corporate records. • The individual needs to be very organized, due to the number of simultaneous requests from different businesses. • Ability to concisely educate business personnel about business entity formalities and requirements • Ability to understand investment concepts, goals and concerns, efficiently consult with business personnel, and integrate business goals with corporate law requirements • Understanding of basic accounting principles, particularly with respect to capital and dividends • Ability to work collaboratively with people of diverse professional and cultural backgrounds • Flexibility of schedule EDUCATION/QUALIFICAYIONS • Familiarity or ease with the corporate and limited liability company laws of other jurisdictions sufficient to read such laws and quickly gain a sense of significant differences on basic points as needed • Familiarity with regulated entities • Experience with forming, organizing and maintaining corporations and other business entities and their organizational and securities records • Experience with the structures and documentation of various acquisition, merger, financing and other business transactions • Sensitivity to domestic and international tax issues • Intermediate to Advanced MS Office • Previous experience with database, entry preferred, not required
